End User License Agreement (EULA)

This End User License Agreement ("EULA") is a legal agreement between you ("you" or "Licensee") and Armando Ventures LLC ("Licensor") for the Axiom application software, including desktop (Electron) distributions, updates, and documentation (the "Software").

By installing, copying, or using the Software, you agree to this EULA. If you do not agree, do not install or use the Software.

Draft notice: Have qualified counsel review this EULA before commercial distribution, especially for Mac App Store, Microsoft Store, or enterprise volume licensing.

1. License grant

Subject to your compliance with this EULA and our Terms of Service, Licensor grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software for your internal business purposes on devices you own or control.

If you received the Software under a separate written agreement (for example an enterprise order form), that agreement controls in case of conflict.

2. Restrictions

You may not:

sublicense, sell, rent, lease, or distribute the Software except as expressly permitted;
remove or alter proprietary notices;
use the Software to build a competing product or service that substantially reproduces the Software's core operating model;
circumvent technical protection measures or safety gates;
use the Software in violation of applicable law.

You may make a reasonable number of backup copies for archival purposes.

3. Open-source components

The Software may include or depend on third-party open-source components. Those components are licensed under their respective licenses. A copy of required notices is provided in `THIRD_PARTY_NOTICES` (or equivalent) with the distributed application.

To the extent required by applicable open-source licenses, we will provide source code or offer information on how to obtain it.

4. Updates

Licensor may provide updates, patches, or new versions. Updates may be installed automatically if you enable auto-update. Updates are licensed under this EULA unless accompanied by different terms.

5. Ownership

The Software is licensed, not sold. Licensor and its licensors retain all rights, title, and interest in the Software, including all intellectual property rights.

6. Privacy

Our Privacy Policy describes how we handle information. Local workspace data you generate is primarily stored on your systems under your control.

7. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT AI-ASSISTED OUTPUT WILL BE ACCURATE OR SUITABLE FOR ANY PURPOSE.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR BUSINESS OPPORTUNITY.

LICENSOR'S TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SOFTWARE WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID FOR THE SOFTWARE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

9. Termination

This EULA is effective until terminated. It terminates automatically if you breach it. Upon termination, you must stop using the Software and destroy all copies in your possession.

Sections that by their nature should survive termination will survive.

10. Export compliance

You agree to comply with applicable export control and sanctions laws. You may not use or export the Software except as authorized by United States law and the laws of the jurisdiction in which the Software was obtained.

11. Governing law

This EULA is governed by the laws of the State of Missouri, without regard to conflict-of-law rules. Exclusive venue is in Missouri courts, and you consent to personal jurisdiction there.
